Position Summary
The Group Secretariat Manager will lead the day to day provision of corporate governance support for BG Group subsidiary companies and will manage the provision of first class governance support to BG Group Plc.
 
Acting as a line manager, mentor and role model to other qualified chartered secretaries, this role will require extensive leadership skills and the ability to carefully prioritise multiple workstreams, together with the ability to change and adapt to the developing corporate governance landscape.
Key Accountabilities
Team Management
  • Work with the Deputy Company Secretary to create a best in class team and raise the profile of the team within the wider Group and externally.
  • Deputise as required for the Deputy Company Secretary and the Company Secretary, if required.
  • Take responsibility for the management, training and development of three company secretarial assistants and the upskilling and mentoring of other members of the team.
  • Create and manage a sustainable training programme to support long-term team development.
Subsidiary Work
  • Strategic management of the Group’s subsidiaries and the design and maintenance of processes to meet best corporate governance standards in this regard.
  • Oversee the provision of Company Secretarial Services to Group Subsidiaries worldwide through an external provider.
  • Act as the Group Secretariat representative on transactional projects.
  • Oversee the training of subsidiary directors.
  • Management of the subsidiary accounts process.
  • Accountable for the rationalisation of Group subsidiaries on a regular and effective basis.
Share Registration
  • Oversee the retail shareholder strategy for the Group.
  • Oversee the provision of services by the Share Registrar.
Governance
  • Manage the Annual General Meeting.
  • Monitor the external governance and reporting environment and advise on new developments and best practice, recommending changes where appropriate.
  • Manage the relationship with the institutional voting bodies on behalf of the Group.
  • Take a proactive lead in drafting responses to external consultations on behalf of the Company Secretary.
  • Responsible for drafting sections of the annual report and accounts.
  • Secretary to the Risk Management Committee, Governance Committee and Group Finance Committee.
  • Oversee the annual review of Group corporate governance documents and the benchmarking of Group governance practices against the market.
HSSE
  • Every individual has a duty to both themselves and those around them to ensure that safe practice is adhered to at all times. In addition to any specific accountabilities for HSSE, all managers are accountable for HSSE within their area of the business and are responsible for ensuring that their team adopt exemplary HSSE behaviours.
Unique Knowledge, Skills, Experience and Attribute
Required experience and knowledge:
  • ACIS / FCIS qualification.
  • Significant experience of working at a senior level within a company secretariat function in a large FTSE listed organisation.
  • Experience with end-to-end management of company secretarial duties.
  • Experience in supporting senior leadership / boards.
